BINDING AGREEMENT

By visiting the website gracemoon.shop, clicking any button on the website, completing any quiz or assessment, providing your email address, or making any purchase, you agree to be legally bound by these Terms & Conditions in their entirety. If you do not agree, you must immediately leave the website and refrain from using any of our services.

Section 1Acceptance of Terms

These Terms and Conditions ("Terms," "Agreement") constitute a legally binding contract between you (the "User," "Buyer," "Customer," or "You") and Mycroft Wellness Group, doing business as Grace Moon ("Company," "Seller," "We," "Us," or "Our"). These Terms govern your access to and use of the website gracemoon.shop, all associated subdomains, URLs, and web properties (collectively, the "Website"), as well as all products, services, content, features, and functionalities offered through the Website (collectively, the "Service").

You agree to these Terms by any of the following actions:

  1. Visiting the Website in any capacity, whether by direct URL entry, search engine result, advertisement click, social media link, email link, or any other means of access.
  2. Clicking any button on the Website, including but not limited to quiz buttons, navigation buttons, "Start Quiz" buttons, option selection buttons, "Reveal My Score" buttons, "Buy Now" buttons, checkout buttons, call-to-action buttons, exit popup buttons, or any other interactive element.
  3. Completing any portion of the quiz, assessment, or interactive content on the Website.
  4. Providing your email address or any other personal information through any form or input field on the Website.
  5. Making a purchase of any Digital Product through the Website or through any linked checkout page (including Whop).
  6. Accessing, downloading, viewing, or otherwise interacting with any Digital Product delivered through the Service.
  7. Subscribing to or receiving any email communications from the Company.

Your use of the Service is also governed by our Privacy Policy, No Refund Policy, and Disclaimer, each of which is incorporated into these Terms by reference. In the event of any conflict between these Terms and any other policy, these Terms shall control unless the other policy specifically states otherwise with respect to the subject matter at issue.

Section 2Eligibility

By using the Service, you represent and warrant that:

  • You are at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater.
  • You have the legal capacity and authority to enter into a binding agreement.
  • You are not prohibited from using the Service under any applicable law, regulation, or court order.
  • If you are accessing the Service on behalf of an organization, you have the authority to bind that organization to these Terms.
  • All information you provide to us is truthful, accurate, current, and complete.

If you do not meet all of the above requirements, you must immediately discontinue use of the Service.

Section 3Product Description

3.1 Nature of the Product

The primary product offered through the Service is "The Frequency Reset Guide" by Grace Moon (the "Digital Product" or "Ebook"), a digital ebook delivered in PDF format. The Digital Product is a digital informational and entertainment product. It contains content related to frequency healing, energy work, chakra alignment, crystal healing, zodiac-based practices, meditation, journaling, and related spiritual and wellness topics.

3.2 Product Delivery

The Digital Product is delivered electronically and instantaneously upon successful completion of payment. Delivery is facilitated through the Whop platform. Upon purchase, you will receive access to download the Digital Product in PDF format. The Digital Product is considered fully delivered the moment access is granted, regardless of whether you actually download, open, or read the content.

3.3 Product Pricing

The current price of the Digital Product is $17.00 USD (or such other price as may be displayed at the time of your purchase). The original price, any crossed-out or "was" prices, and any discount calculations shown on the Website are for marketing purposes and represent the Company's reference pricing. Prices are subject to change at any time without notice. The price in effect at the time of your purchase is the price you will be charged.

All prices are in United States Dollars (USD) unless otherwise specified. You are responsible for any currency conversion fees, foreign transaction fees, or other charges imposed by your bank or payment provider.

NOT MEDICAL ADVICE

The content of the Digital Product and all materials provided through the Service are for informational and entertainment purposes only. The Digital Product does NOT constitute medical advice, psychological advice, therapeutic advice, or any form of professional healthcare guidance. Frequency healing, energy work, chakra alignment, crystal healing, sound healing, and related practices described in the Digital Product are spiritual and wellness practices that are not recognized as medical treatments by the FDA, AMA, WHO, or any regulatory medical authority.

Always consult a qualified healthcare professional before making any changes to your health regimen. Never disregard professional medical advice or delay seeking medical treatment because of something you read in the Digital Product.

Section 4No Refunds

All sales of Digital Products are final and non-refundable. By purchasing any Digital Product through the Service, you acknowledge and agree that you are not entitled to a refund, exchange, credit, chargeback, or any other form of payment reversal under any circumstances. This provision is fully detailed in our No Refund Policy, which is incorporated into these Terms by reference.

4.1 Satisfaction Guarantee Clarification

The Website and marketing materials may reference a "100% Satisfaction Guarantee," "7-Day Guarantee," "money-back guarantee," or similar promotional language. This language refers exclusively to our confidence in the quality and completeness of the content delivered and does not create, constitute, or imply a monetary refund guarantee.

Specifically:

  • The "guarantee" means that we guarantee the content will be delivered as described — a complete 101-page digital guide with all advertised sections and features.
  • The "guarantee" means that if you are unsatisfied with the content quality, we will provide additional support, supplementary materials, or extended guidance.
  • The "guarantee" does NOT mean that you are entitled to a monetary refund for any reason, including dissatisfaction, change of mind, or failure to achieve desired results.
  • The No Refund Policy takes absolute precedence over any perceived or implied refund guarantee in any marketing material, sales page, email, social media post, or other promotional content.

Any reliance on marketing language as a basis for expecting a refund is unreasonable, and any such expectation is hereby expressly disclaimed.

Section 5Quiz and Assessment

5.1 Nature of the Quiz

The interactive quiz (the "Frequency Assessment" or "Quiz") available on the Website is a marketing and engagement tool designed to provide a personalized experience and generate interest in the Digital Product. The Quiz is not a scientifically validated diagnostic tool, medical assessment, psychological evaluation, or evidence-based measurement instrument.

5.2 Frequency Score

The "frequency score," "frequency reading," "energy field assessment," and related metrics generated by the Quiz are calculated using a proprietary algorithm based on your quiz responses. These scores are for entertainment and personalization purposes only. They do not reflect any actual, measurable, physical, or metaphysical property of your body, mind, spirit, or "energy field." No scientific instrument, peer-reviewed study, or medical authority validates the concept of a "frequency score" as presented on the Website.

5.3 Personalized Content

The personalized content, recommendations, and reading provided based on your quiz responses are generated algorithmically and are designed to be relevant and engaging. They should not be interpreted as personalized medical advice, therapeutic guidance, or professional consultation of any kind.

Section 6Intellectual Property

6.1 Ownership

All content on the Website and within the Digital Product, including but not limited to text, graphics, logos, images, audio files, guided meditations, journal prompts, diagrams, crystal grid layouts, protocols, sequences, calendars, illustrations, videos, data compilations, software, and any other material (collectively, "Content"), is the exclusive property of Mycroft Wellness Group and/or Grace Moon and is protected by United States and international copyright laws, trademark laws, and other intellectual property laws.

6.2 Limited License

Upon purchase of the Digital Product, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Digital Product for your personal, non-commercial use only. This license does not grant you any ownership interest in the Content.

6.3 Prohibited Uses

You expressly agree that you will NOT:

  • Copy, reproduce, duplicate, or make backup copies of the Digital Product beyond what is reasonably necessary for personal use on your own devices.
  • Distribute, share, lend, rent, lease, or transfer the Digital Product or any portion thereof to any third party, whether for free or for compensation.
  • Resell, sublicense, or commercially exploit the Digital Product or any Content contained therein.
  • Modify, adapt, translate, create derivative works from, or otherwise alter the Digital Product or any Content.
  • Upload, post, share, or make the Digital Product available on any website, social media platform, file-sharing service, torrent site, cloud storage service, or any other publicly or semi-publicly accessible medium.
  • Remove, alter, or obscure any copyright notices, watermarks, author attributions, or other proprietary notices from the Digital Product.
  • Use the Content for any commercial purpose, including incorporating it into your own products, courses, workshops, or services.
  • Use automated tools, scrapers, or bots to access, download, or extract Content from the Website.
  • Reverse engineer, decompile, or attempt to extract the source code or algorithms of any software components of the Service.

6.4 Enforcement

Violation of these intellectual property restrictions constitutes a material breach of these Terms and may result in immediate termination of your license, legal action for copyright infringement (with statutory damages of up to $150,000 per work infringed under 17 U.S.C. Section 504(c)(2)), and claims for actual damages, lost profits, and attorney fees.

6.5 DMCA

We respect the intellectual property rights of others. If you believe that any content on our Website infringes your copyright, please contact us at support@mycroftwell.com with a notice complying with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. Section 512(c)(3).

Section 7User Conduct

By using the Service, you agree that you will not:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Engage in any activity that interferes with, disrupts, or imposes an unreasonable burden on the Service or its infrastructure.
  • Attempt to gain unauthorized access to any portion of the Service, other user accounts, or any computer systems or networks connected to the Service.
  • Use the Service to transmit any viruses, malware, or other harmful code.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
  • Collect or harvest any personal information of other users of the Service.
  • Use the Service to send spam, unsolicited messages, or engage in any form of harassment.
  • Post or transmit any content that is defamatory, obscene, threatening, or otherwise objectionable.
  • Initiate a fraudulent chargeback or payment dispute for a properly delivered Digital Product.

Section 8Disclaimer of Warranties

THE SERVICE AND ALL DIGITAL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

To the fullest extent permitted by applicable law, Mycroft Wellness Group expressly disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability — we make no warranty that the Digital Product is fit for any particular commercial purpose.
  • Implied warranties of fitness for a particular purpose — we make no warranty that the Digital Product will achieve any specific result, outcome, healing, transformation, or benefit for you.
  • Implied warranties of non-infringement — while we believe our Content is original, we disclaim any warranty regarding potential intellectual property claims by third parties.
  • Warranties of accuracy or completeness — while we strive to provide accurate and helpful content, we make no warranty that the information in the Digital Product is complete, accurate, current, or error-free.
  • Warranties of results — we make absolutely no warranty that using the Digital Product will result in any specific healing, transformation, manifestation, energy shift, frequency change, health improvement, or any other outcome described, implied, or suggested in our marketing materials or the Digital Product itself.
  • Warranties of availability — we make no warranty that the Service will be uninterrupted, secure, or error-free.

The spiritual, wellness, and healing practices described in the Digital Product (including frequency healing, chakra alignment, crystal healing, sound healing, and manifestation techniques) are based on traditional and spiritual beliefs. They are not scientifically proven, medically validated, or endorsed by any regulatory health authority. Any perceived benefits are subjective and individual.

Section 9Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MYCROFT WELLNESS GROUP, GRACE MOON, OR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, THE "COMPANY PARTIES") BE LIABLE TO YOU OR ANY THIRD PARTY FOR:

  • Any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses.
  • Any damages arising from your use or inability to use the Service or Digital Products.
  • Any damages arising from any content, products, or services obtained through the Service.
  • Any personal injury or health consequence arising from your use of or reliance on the Digital Product or any practices described therein.
  • Any damages arising from unauthorized access to or alteration of your data or transmissions.
  • Any damages arising from any third-party conduct or content on or related to the Service.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE COMPANY PARTIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, the above limitations shall apply to the maximum extent permitted by applicable law. The limitations in this section apply regardless of the theory of liability, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, and regardless of whether the Company Parties have been advised of the possibility of such damages.

Section 10Indemnification

You agree to indemnify, defend, and hold harmless Mycroft Wellness Group, Grace Moon, and all of their officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees and court costs) arising out of or related to:

  • Your use of the Service or Digital Products.
  • Your violation of these Terms or any applicable law, regulation, or third-party right.
  • Any content or information you submit, post, or transmit through the Service.
  • Your negligent or willful misconduct.
  • Any chargeback, payment dispute, or payment reversal you initiate.
  • Any claim that your use of the Service or Digital Products caused damage to a third party.
  • Any health-related claim arising from your application of practices described in the Digital Product.

This indemnification obligation shall survive the termination of these Terms and your use of the Service.

Section 11Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter, formation, or enforceability (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law provisions.

You irrevocably agree that the courts of the State of Wyoming shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or their subject matter or formation, subject to the binding arbitration provision below.

Section 12Dispute Resolution — Binding Arbitration

12.1 Mandatory Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, the Digital Product, the No Refund Policy, or any other aspect of your relationship with Mycroft Wellness Group (collectively, "Disputes") shall be resolved exclusively through final and binding individual arbitration, rather than in court, except that you may assert individual claims in small claims court if your claims qualify. The Federal Arbitration Act, 9 U.S.C. Sections 1-16, governs the interpretation and enforcement of this arbitration provision.

12.2 Arbitration Procedures

Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, available at adr.org. If the AAA is unavailable, the parties shall agree on an alternative arbitration provider, or a court shall appoint one. The arbitration shall be conducted by a single arbitrator. The arbitration shall take place in the State of Wyoming, or at another mutually agreed-upon location. The arbitration may also be conducted remotely via video conference at the arbitrator's discretion.

12.3 Class Action Waiver

YOU AND MYCROFT WELLNESS GROUP AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, MULTI-DISTRICT, OR REPRESENTATIVE PROCEEDING.

The arbitrator may not consolidate more than one person's claims, may not preside over any form of representative or class proceeding, and may not award relief to any person other than the individual party seeking relief. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void, and the dispute shall be resolved in court under the governing law section above.

12.4 Pre-Arbitration Dispute Resolution

Before initiating arbitration, you must first send a written notice of the dispute to support@mycroftwell.com describing the nature of the claim, the relief sought, and your contact information. Both parties agree to attempt to resolve the dispute informally within 60 days of receiving such notice. If the dispute is not resolved within 60 days, either party may initiate arbitration.

12.5 Costs

The payment of filing fees and arbitrator compensation shall be governed by the AAA's rules and fee schedules. Each party shall bear its own attorney fees and costs, unless the arbitrator awards fees and costs to the prevailing party as permitted by applicable law.

12.6 Opt-Out

You may opt out of this arbitration provision by sending written notice to support@mycroftwell.com within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of the binding arbitration provision. If you opt out, you will still be bound by all other provisions of these Terms.

Section 13Termination

We reserve the right to terminate or suspend your access to the Service, without prior notice or liability, for any reason, including but not limited to your breach of these Terms. Upon termination:

  • Your license to access and use the Digital Product is immediately revoked.
  • You must destroy all copies of the Digital Product in your possession.
  • All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, limitations of liability, indemnification, and dispute resolution.

Section 14Third-Party Services

The Service integrates with and relies upon third-party services, including but not limited to Whop (checkout and product delivery), Stripe (payment processing), Systeme.io (email marketing), Static hosting provider (hosting), and Google Fonts (typography). Your use of these third-party services is subject to their respective terms of service and privacy policies. Mycroft Wellness Group is not responsible for the availability, functionality, privacy practices, or content of any third-party services.

Section 15Force Majeure

Mycroft Wellness Group shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, epidemics, pandemics, war, terrorism, government actions, power failures, internet disruptions, third-party service outages, or any other force majeure event.

Section 16Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, it shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision, and the remaining provisions shall continue in full force and effect.

Section 17Entire Agreement

These Terms, together with the Privacy Policy, No Refund Policy, and Disclaimer (each incorporated by reference), constitute the entire agreement between you and Mycroft Wellness Group regarding your use of the Service and supersede all prior and contemporaneous written or oral agreements, proposals, negotiations, representations, and understandings between you and the Company.

Section 18Waiver

The failure of Mycroft Wellness Group to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall only be effective if made in writing and signed by an authorized representative of the Company.

Section 19Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of Mycroft Wellness Group. Mycroft Wellness Group may assign or transfer these Terms, in whole or in part, without restriction and without your consent, including in connection with a merger, acquisition, corporate restructuring, or sale of assets.

Section 20Modifications

Mycroft Wellness Group reserves the right to modify, amend, or replace these Terms at any time and without prior notice. The most current version of these Terms will be posted on the Website with an updated "Last Updated" date. Your continued use of the Service after any changes constitutes your acceptance of the modified Terms.

It is your responsibility to review these Terms periodically. If you do not agree with any modifications, you must immediately discontinue use of the Service.

Section 21Electronic Communications

By using the Service, you consent to receiving electronic communications from us, including emails, push notifications (if applicable), and in-site notices. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

Section 22Headings

The section headings in these Terms are for convenience only and shall not affect the interpretation of any provision.
